Terms of Service — EatLatePayLess

Effective Date: October 1st, 2026

These Terms of Service govern your use of EatLatePayLess, operated by Sinclair Hartmann LLC, an Arizona limited liability company.

By using EatLatePayLess, you agree to these Terms. You must be at least 18 years old to use the service.

EatLatePayLess provides a technology platform through which participating food businesses may publish time-sensitive offers and consumers may discover those offers, including offers based on geographic proximity.

EatLatePayLess is an information and discovery platform.

Unless expressly stated otherwise, Sinclair Hartmann LLC is not the seller of the food, goods or services advertised by participating businesses.

EatLatePayLess does not currently process payments or complete transactions between consumers and businesses.

Any purchase, payment, refund or other transaction takes place directly between the consumer and the participating business.

Offers displayed through EatLatePayLess may be time-sensitive and subject to quantity limitations, expiration, availability and other conditions established by the participating business.

An offer appearing in the application does not guarantee that a particular item will remain available when a consumer arrives at the business.

Participating businesses are responsible for the accuracy, legality, availability, pricing and description of their offers.

Business users must have appropriate authority to act on behalf of the business they represent.

Where Google Business Profile is used, a business user must have appropriate authorization to manage the relevant Google Business Profile location.

Business users may not impersonate another business, publish fraudulent or misleading offers, manipulate location information, or use EatLatePayLess for unlawful purposes.

EatLatePayLess may allow business users to connect their Google account and authorize access to Google Business Profile information.

Users control whether they grant this authorization and may revoke Google account access through their Google Account settings.

Use of Google services remains subject to applicable Google terms and policies.

Consumers are responsible for confirming offer availability and applicable conditions with the participating business.

Food preparation, ingredients, allergens, dietary claims, food safety, fulfillment, refunds and customer service relating to a purchase are the responsibility of the participating business.

Consumers with allergies or dietary restrictions should communicate directly with the business before purchasing or consuming food.

You are responsible for maintaining the security of your account and for activity occurring through your credentials.

You may not attempt to gain unauthorized access to another user's account, another business's information, or EatLatePayLess systems.

You may not use EatLatePayLess to violate applicable law; misrepresent your identity or authority; publish fraudulent, deceptive or unlawful content; interfere with the operation or security of the service; access data without authorization; introduce malicious software; or abuse, reverse engineer or exploit the service except where applicable law expressly permits such activity.

EatLatePayLess, including its software, branding, design and original content, is owned by or licensed to Sinclair Hartmann LLC and is protected by applicable intellectual-property laws.

Businesses retain responsibility for content and information they submit. By submitting content for publication through EatLatePayLess, the business grants Sinclair Hartmann LLC a limited license to host, reproduce and display that content as necessary to operate the service.

EatLatePayLess may depend upon services supplied by third parties, including Google and Firebase.

We do not control the availability or operation of third-party services and cannot guarantee uninterrupted availability when those services experience interruptions or changes.

We may modify, suspend or discontinue features of EatLatePayLess as the service evolves.

We do not guarantee that the service will always be available, error-free or uninterrupted.

To the maximum extent permitted by applicable law, EatLatePayLess is provided on an “as is” and “as available” basis.

Sinclair Hartmann LLC does not warrant the accuracy or continued availability of offers submitted by participating businesses or the quality, safety or suitability of products sold by those businesses.

To the maximum extent permitted by applicable law, Sinclair Hartmann LLC and its members, officers, employees and agents will not be liable for indirect, incidental, special, consequential or punitive damages arising from or relating to use of EatLatePayLess.

Nothing in these Terms excludes liability that cannot legally be excluded.

We may restrict or terminate access to EatLatePayLess when reasonably necessary to protect users or the service, address violations of these Terms, comply with law, or prevent fraud, abuse or security threats.

Users may stop using EatLatePayLess at any time.

Use of EatLatePayLess is also governed by the EatLatePayLess Privacy Policy.

We may update these Terms as EatLatePayLess evolves.

Updated Terms will be posted on the EatLatePayLess website with a revised effective date.

These Terms are governed by the laws of the State of Arizona, United States, without regard to conflict-of-law principles, except where applicable law requires otherwise.
